Connect company approval with foreign recognition

If a manager must act for a company abroad, identify the legal principal and the institutions involved before drafting. Company governance, contract powers, bank mandates and local management or sector requirements can differ. A UAE-issued appointment does not automatically establish the manager’s foreign registered role.

Company principal, jurisdiction and authorised signatory

Confirm the company’s incorporation jurisdiction, constitution and current officers. Establish whether the principal is the entity or an individual owner and who can validly bind it. The company may need a resolution or other governance step before issuing the appointment. An owner’s personal authority should not be substituted for the entity’s rights without assessment.

For a UAE company, review the relevant federal or free-zone framework and current amendments; for a foreign company, obtain its own jurisdiction’s advice. Clarify the manager’s existing registered or contractual role. A UAE-issued document can support formal evidence, but it does not automatically create a foreign statutory management appointment or remove local registration requirements.

Fees and cost components

Professional work, authority fees and third-party charges should be identified separately in the written quote.

Understand the components of your quotation

Corporate and cross-border review

Several jurisdictions or institutions can increase scope. Confirm the governance, destination and drafting work included in the engagement.

Certification and corporate documents

Notarial, authentication, translation and obtaining current corporate evidence are separate cost components. Confirm the actual commercial classification and required route.

Foreign implementation and maintenance

Local registration, banking support or sector work may add fees. Ongoing mandate updates and later revocation should not be assumed included in initial certification.

Documents and information to prepare

The receiving authority and adviser confirm the final requirements for your matter.

  • Corporate constitution and status

Prepare incorporation, licence, articles and current officer records. Identify the relevant jurisdictions and whether the company or an individual is the principal.

  • Approvals and signatory evidence

Supply valid resolutions or other authority for the issuing person. Explain the manager’s existing role and any shareholder or board limits.

  • Foreign task list and recipient requirements

Record intended actions, organisations and local checklists. Identify banking, professional, employment or sector conditions that remain separate.

  • Manager and document records

Provide identity and contact details, earlier powers and proposed language or destination draft. Confirm which corporate documents need authentication alongside the POA.

Foreign operational tasks and reserved decisions

List receiving organisations and acts: contract execution, records, supplier matters, licensing, banking or personnel tasks. Identify where a POA is accepted and where an institution uses a separate mandate. Avoid a document that merely lists every possible power while leaving the actual operation undefined. The manager should understand the role and principal’s intended limits.

Separate routine administration from borrowing, security, guarantees, disposals, share changes and dispute settlements. Those decisions may need additional corporate approvals or explicit authority under the relevant law. Align formal scope with internal approval and reporting arrangements. A private spending limit needs appropriate review so its relationship with the external authority is clear.

Bank, regulator and local representative recognition

Ask the foreign authority, bank or professional responsible for the task what form, language, evidence and local registration it requires. Corporate documents, current officer evidence and a resolution may need their own authentication. Acceptance of the manager’s POA by one institution does not automatically establish authority for another or satisfy sector licensing.

Consider regulated activities and professional representation separately. A corporate appointment is not a licence to practise a regulated profession or advocate in every forum. Verify local work, immigration or representative-registration requirements where relevant. The document should not be used to promise operational rights the business or individual has not obtained.

Commercial authentication, records and manager departure

Prepare accurate entity and signatory records and select a suitable UAE notarial route consistent with destination requirements. MoFA’s service distinguishes commercial document types and destination processing; confirm the actual classification and chain. Preserve the issued originals, verification and authentication records rather than merge or edit certificates informally.

Present the authority with the full corporate file and complete institution-specific mandates. Track where the manager is recognised, significant acts and any financial commitments. When the manager leaves or the company changes, obtain advice on revocation, replacement and notifications in the relevant systems. A change in employment does not automatically update every overseas bank or register.

Further context for this guide

An outbound manager POA should define the actual activities and receiving organisations. Contract signing, corporate filings, banking and employment matters can require different mandates or local approvals. The document should support a coordinated operating arrangement rather than promise that one general authority makes the manager recognised everywhere.

The general manager POA guide addresses the company role and operational limits, while the outbound document guide explains origin and destination formalities. Review both layers before relying on one document for several institutions.

Points to check before proceeding

Treating a job title as universal authority

The company and recipient requirements determine the role. Review governance and local recognition rather than rely only on the title.

Authenticating only the POA

The recipient may need separate corporate and officer evidence. Obtain its complete checklist before arranging the document chain.

Leaving overseas access unchanged

Manager departure can require bank, portal and registry updates. Track those alongside the formal ending of authority.

Your questions, answered

Can a UAE POA appoint a foreign company manager?

That depends on the foreign company’s law and formal appointment process. The document should be assessed as part of that process, not assumed to create the role automatically.

Who signs for a UAE company?

A person with valid authority under the entity’s framework and records. Review required decisions and signatory evidence before certification.

Will foreign banks accept a general manager POA?

Acceptance and account access depend on each bank’s requirements. It may need separate mandates, corporate evidence or personal verification.

Can it authorise regulated work?

The appointment does not replace licences, professional eligibility or local permits. Assess those independently for the proposed activity.

Should borrowing be included?

Only after deliberate governance, scope and lender review. Routine manager duties should not imply unrestricted financial commitments.

How is the authority ended abroad?

Review the applicable revocation and notification requirements and update all institutions that relied on it. Employment changes alone may not complete those steps.
