Choose the company route and distinguish business registration
The Companies Registry distinguishes incorporating a local Hong Kong company from registering an existing non-Hong Kong company. A new Hong Kong subsidiary and an existing foreign company with a place of business there follow different routes. State which entity the parent proposes to establish or register; the choice affects its relationship with the parent, application documents and continuing administration.
The Registry’s incorporation process includes a notice to the Business Registration Office. Incorporation and business registration serve related but distinct functions. Confirm which certificates will be issued and what ongoing renewal or compliance work is included. A company name also needs separate brand and trademark consideration; registry name acceptance alone is not a complete clearance for the intended trading brand.
Fees and cost components
Professional work, authority fees and third-party charges should be identified separately in the written quote.
Formation and governance work
Define incorporation preparation, constitution review and handover. A bespoke shareholders agreement or group restructuring is separate if not expressly included.
Registry and business registration
Separate current Companies Registry charges from business registration and relevant recurring authority items.
Secretary, address and ongoing compliance
Clarify annual local service fees, filings, accounts and tax support. Ask how additional corporate changes, document certifications and bank assistance are priced.
Documents and information to prepare
The receiving authority and adviser confirm the final requirements for your matter.
Owner and officer particulars
Prepare current subscriber, director and company secretary details, address information and consent or authority records required for the selected form.
Registered office and local services
Identify the Hong Kong office address and secretary arrangement. Clarify correspondence handling, records and the filings included in the service contract.
Share and constitution instructions
Agree the proposed name, shares, subscriptions, articles and decision rights. Corporate owners should provide authority and supporting registration and ownership evidence.
Commercial and banking file
Describe trading or holding activities, source of funds, management, counterparties and expected payments. Include planned UAE or other overseas operations for cross-border advice.
Directors, the company secretary and the local office
The Registry’s incorporation FAQ explains that a private company needs at least one director who is a natural person, and a company secretary. A sole director cannot also be that company’s secretary. The registered office must be in Hong Kong; a secretary who is an individual must ordinarily reside there, while a corporate secretary has the prescribed Hong Kong office requirement.
Arrange these roles before filing and clarify the service scope of any local secretary or address provider. A director’s decision-making role should not be confused with a secretary’s administration tasks. If there is a sole founder, do not assume that being the owner makes it possible to combine every officer position. The application must contain the required first officer and office particulars.
Capital, constitution and the founders’ commercial agreement
The Registry states that there is no minimum paid-up capital requirement under the Companies Ordinance, but the share structure still needs thought. Choose the actual subscriptions, ownership percentages and class rights to suit funding and governance. Avoid selecting arbitrary shares simply because an incorporation form offers a default.
Agree who may approve borrowing, issue further shares, sign significant contracts and transfer ownership. Multiple founders should consider a shareholders agreement consistent with the articles. A corporate parent needs its own authority to establish the subsidiary. The company file should explain the group structure, not merely list immediate subscribers without the chain and decision powers behind them.
Build post-incorporation filings into the handover
The Companies Registry’s obligations guidance highlights annual returns and notices of changes, including officers and registered office particulars. Keep the company records and the filing responsibility clear from the start. A paid company secretary service should specify the filings included and the information the directors must supply.
Accounts, tax, business registration and any sector requirements should be assessed alongside Companies Registry duties. Do not assume that a company trading outside Hong Kong has no reporting work. Prepare a calendar with the relevant adviser and ensure that changes in the owners, directors, office or activities trigger a review before the corporate and banking records become inconsistent.
Prepare the banking and cross-border operating evidence
An international trading company should be able to explain suppliers, customers, logistics, expected payments and management. An entity established for a regional holding purpose needs evidence of its subsidiaries, investments and funding. These are useful planning questions and can also form part of bank or service provider due diligence.
An incorporation certificate does not guarantee a bank account, tax result or permission to work in Hong Kong. Seek advice on actual sourcing of income, management and other tax questions instead of relying on a blanket “offshore profits” statement. If operations also occur in the UAE, assess UAE licensing and tax separately; a Hong Kong company does not remove those workstreams.
The detailed process
- 01
Define the cross-border purpose
Explain why Hong Kong is proposed, the countries in which owners and managers are based, the intended assets and the activities. Agree whether advice, incorporation, licensing and ongoing administration are included, and identify the local adviser responsible for jurisdiction-specific work.
- 02
Confirm the legal and provider route
Choose between a new local company and any relevant foreign-company route. Confirm the natural-person director, eligible local secretary, Hong Kong registered office and current incorporation/business registration submission requirements.
- 03
Prepare and reconcile the evidence
For a local Hong Kong company, reconcile the proposed directors, company secretary, registered office, capital and articles with the owners’ instructions. Identify any corporate parent and who may sign for it. Confirm that the application is for local incorporation rather than registration of an existing foreign company, then obtain the appropriate document requirements.
- 04
File and resolve authority queries
Submit through the permitted Hong Kong channel, respond to questions and review the issued particulars. Registry acceptance is the authority’s decision. Separate any additional operating or sector licence from the formation submission, and keep signed approvals and filing evidence with the corporate records.
- 05
Hand over an operating and compliance plan
Retain the Certificate of Incorporation, Business Registration Certificate and articles with the company records. Assign responsibility for the Hong Kong annual return, officer or office changes and the continuing secretary/office arrangement. Banking, tax and operating permissions require separate follow-through; identify the recurring administration costs before completing the handover.

Further context for this guide
The Companies Registry publishes practical guidance on incorporation, officer requirements and post-incorporation obligations. This guide uses those distinctions to organise your preparation file. Tax, business permissions and banking should be assessed separately for the intended operations and the countries in which the owners, staff and management are based.
This guide concerns a local Hong Kong company, even if its shareholders and customers are overseas. It is not a special tax-exempt offshore form. If Singapore company formation is also being considered, compare the officer, office and filing arrangements for the same business before deciding on the location.

Points to check before proceeding
Combining incompatible sole officer roles
Check the Registry’s rules before naming a sole founder as both director and secretary. Establish a compliant secretary arrangement before filing.
Using an offshore label to omit reporting
International transactions do not themselves eliminate filing or tax obligations. Obtain advice based on actual operations and management.
Confusing name approval with brand clearance
A registry name and a trademark perform different functions. Check the brand in the markets where it will be used before investing in launch materials.
Your questions, answered
Does the director have to live in Hong Kong?
The Companies Registry FAQ states that there is no Hong Kong residence requirement for a director under the Companies Ordinance. A private company needs a natural-person director, and local requirements apply to the secretary and registered office. Banking and other permissions should be assessed separately.
Can the sole director also be company secretary?
No. The Registry explains that a sole director cannot also be the secretary of the same private company. There are also restrictions on certain corporate secretary arrangements. Agree the eligible secretary and written administration scope before filing.
Is there a minimum paid-up capital requirement?
The Registry states that the Companies Ordinance does not prescribe a minimum paid-up capital. The capital and share structure still need commercial and governance consideration, including funding, rights and any sector-specific requirements.
Is business registration included in incorporation?
The Registry’s local company process includes a notice to the Business Registration Office. Confirm the resulting certificates and the relevant recurring duties. Incorporation does not replace any additional permission required by the actual business activity.
Are annual returns required?
The Registry’s post-incorporation guidance addresses annual returns and notices of changes. Confirm the filing calendar and the secretary’s scope, and distinguish those duties from accounting, tax and business registration matters.
Is international trading automatically tax-free?
Do not assume that. The company’s actual transactions, income, management and applicable tax rules need specialist review. Incorporation, bank acceptance and a tax conclusion are separate matters, including where the UAE owners or operations may have obligations.
