Establish the company’s authority to delegate

When a company needs someone to act in place of its usual signatory, first establish who can grant that authority. The corporate POA must belong to the correct entity and fit its constitution, decisions and intended transaction. A shareholder’s personal appointment is not automatically the company’s mandate.

The company granting the POA

Record the full legal name, registration details and legal form of the entity granting the POA. A group trading name or brand may cover several companies, while the required task belongs to only one. If a branch is involved, clarify its relationship with the parent and who holds the relevant licence or asset. Keep the same identity across the draft, resolutions and registry documents.

Explain whether the authority concerns company administration, company assets or a shareholder's personal interest. A shareholder signing a POA over their own shares is not automatically authorising acts for the company. Likewise, a manager's operational mandate is not necessarily a right to dispose of every corporate asset. The drafting brief should identify the legal capacity in which each person signs.

Fees and cost components

Professional work, authority fees and third-party charges should be identified separately in the written quote.

Understand the components of your quotation

Corporate authority review

The quotation depends on the number of entities, constitutional documents and approvals reviewed, and whether foreign corporate law input is needed.

Execution and authentication

Notarial services, certified company documents and overseas legalisation may be separate charges. The applicable route should be identified before payment.

Underlying corporate filing

Licence amendments, share transfers, bank changes and other registry services have separate official or third-party charges unless expressly included.

Documents and information to prepare

The receiving authority and adviser confirm the final requirements for your matter.

  • Current company records

Provide the licence or registry extract for the actual legal entity, including branch details where relevant, rather than a group brochure or trading name.

  • Constitutional documents

Supply the memorandum, articles and amendments so the reviewer can identify management powers, reserved matters and any restrictions on delegation.

  • Signatory and approval evidence

Include appointments, identity documents and the relevant board or shareholder approval. Explain joint-signature arrangements and foreign corporate involvement.

  • Transaction brief and recipient checklist

Describe the intended service, counterparty, commercial limits and receiving institution's document requirements. Include the approved contract or filing where available.

Authorised signatories and corporate approvals

The trade licence is a useful identity record but should not be treated as the entire authority chain. Review the memorandum, articles, management appointments and relevant board or shareholder decisions. Identify restrictions on delegation, joint signatures or consequential transactions. Where an existing authorised signatory is proposed, ask whether their authority extends to granting the particular POA and whether additional approval is needed.

Prepare any approval resolution around the actual delegation. It should be reviewed for the entity's governing rules, decision procedure and authorised signer rather than copied from another company. Keep the resolution and POA consistent about the agent, powers and transaction. If a foreign corporate parent grants authority, its own execution and authentication requirements need review before the document reaches the UAE registry.

Routine administration versus consequential powers

List the specific services the agent will handle, such as a licence amendment, contract signature or filing for a named transaction. Discuss separately any power to borrow, guarantee another party's debt, sell assets, settle disputes, assign intellectual property or delegate onward. These acts can have a different risk profile from routine administration. Do not permit them merely because a broad standard draft includes them.

Agree how the agent will report and which commercial decisions remain with management. If a price, counterparty or transaction document has already been approved, identify it in the brief. Distinguish approval to negotiate from permission to sign the final deal. Proposed financial or transaction limits should be checked with the receiving institution so the final document is both controlled and usable.

Bank, registry and completion requirements

Ask the registry, bank or contracting institution which company documents it needs and in what format. A corporate POA does not automatically change an account mandate or substitute for the institution's own identity checks. Free-zone registries can have specific corporate-authority forms or filing requirements. Confirm the process for the entity and transaction instead of assuming mainland requirements apply everywhere.

After use, collect the filed documents, amended licence or registration output and any receipts. Compare the completed record with the approved instructions and note where the POA has been supplied. If the agent's task ends or their role changes, review amendment or cancellation and relevant notification. A company should retain a coherent delegation file rather than separate unexplained copies held by different employees.

The detailed process

  1. 01

    Map the entity and task

Identify the company, registry, proposed signatory and agent, distinguishing company acts from a shareholder's personal rights.

  2. 02

    Review authority and approvals

Check constitutional powers and prepare the necessary internal decision for the proposed delegation and consequential acts.

  3. 03

    Draft and execute

Match the powers to the recipient's process and use the appropriate notarial or corporate authentication route, including foreign documents if relevant.

  4. 04

    Complete and record

File the document, complete the separate transaction and retain registry outputs, receipts and a record of continuing use.

Further context for this guide

A mainland company, a free-zone entity and a foreign parent do not necessarily follow the same approval or authentication process. Identify the incorporation jurisdiction, receiving authority and intended transaction before drafting. This page explains the questions to resolve, not a universal corporate form. Current company law, registry rules and constitutional documents must be considered together.

A continuing operational role needs the separate general manager POA review. If the company has not yet been formed, the company formation POA guide considers the investor’s authority and the transition to the new entity.

Corporate power of attorney: process and supporting evidence

The process and the record checklist are separate parts of preparation. Mark only the records you have gathered; the indicator reflects your selections and is not an assessment of legal readiness.

The workstream

Instructions → authority → execution → acceptance

  1. Map the entity and task

Identify the company, registry, proposed signatory and agent, distinguishing company acts from a shareholder's personal rights.

  2. Review authority and approvals

Check constitutional powers and prepare the necessary internal decision for the proposed delegation and consequential acts.

  3. Draft and execute

Match the powers to the recipient's process and use the appropriate notarial or corporate authentication route, including foreign documents if relevant.

  4. Complete and record

File the document, complete the separate transaction and retain registry outputs, receipts and a record of continuing use.

Your own checklist

0 of 4 listed records marked as gathered.

Selections stay on this page and are not saved or sent.

  • What to gather

Provide the licence or registry extract for the actual legal entity, including branch details where relevant, rather than a group brochure or trading name.

  • What to gather

Supply the memorandum, articles and amendments so the reviewer can identify management powers, reserved matters and any restrictions on delegation.

  • What to gather

Include appointments, identity documents and the relevant board or shareholder approval. Explain joint-signature arrangements and foreign corporate involvement.

  • What to gather

Describe the intended service, counterparty, commercial limits and receiving institution's document requirements. Include the approved contract or filing where available.

The adviser and receiving authority confirm the final requirements, validity and acceptance of the evidence.

Points to check before proceeding

Using the wrong group entity

A familiar brand name is not enough. The POA must identify the company that holds the relevant rights and grants the authority.

Assuming a licence proves all powers

Review the constitution and approvals rather than treating a manager's name on a licence as unlimited authority to delegate or dispose.

Omitting completion governance

Require final filed records and a report of the agent's actions. Keep the approved scope and actual transaction evidence together.

Your questions, answered

Can a director sign any corporate POA?

That depends on the entity's constitution, appointments, applicable law and the powers being delegated. Review the authority chain and any required internal approval before execution; a job title alone is not a complete answer.

Is a board resolution enough without a POA?

The receiving institution may require a resolution, a POA, its own mandate or a combination. Internal approval and external representative authority are different steps. Confirm the actual service checklist before selecting the documents.

Does a company POA change our bank signatories?

Not automatically. Banks apply their own mandate and verification procedures. Ask the bank how the proposed delegation interacts with the existing account authority and which additional forms or approvals are required.

Can a foreign parent grant authority for UAE work?

A foreign company's authority, execution and authentication need review alongside the UAE recipient's requirements. The parent and UAE subsidiary are separate legal entities; identify which one owns the rights or must perform the act.

Can the agent sell company shares?

First distinguish the company acting for itself from a shareholder disposing of their own interest. Share transfers require the applicable approvals and registry process. Any proposed share powers should be expressly reviewed for the transaction.

Can we limit the POA to one licence amendment?

A defined task can form the brief, but the document must include the related steps needed for that amendment and fit the registry's requirements. Discuss duration, delegation and financial powers rather than leaving unrelated clauses in the draft.

The practical context

Bring the company records behind the signature

Prepare the constitution, relevant decisions, signatory record and intended recipient’s checklist. Identify the legal entity explicitly, especially where a group, shareholder or manager is involved. A familiar trading name is not the authority chain.
