Share sale, new investment or continuing ownership?
A shareholders agreement governs the continuing relationship between owners; a share purchase agreement addresses the sale of existing shares; an investment agreement may document new funding and rights. A joint venture can involve a new company or a contractual project. Clarify which event is occurring before selecting a document with superficially similar language.
Several documents may need to work together. An investor subscription can require revised shareholder terms and amendments to the constitution. A founder exit may combine a transfer, loan repayment and management transition. Build a transaction map with dependencies so a signed private agreement is not mistaken for completion of every connected change. Follow the money and rights when choosing the document. Buying a founder’s existing stake points to a share purchase agreement; putting new money into the company raises investment agreement questions. The continuing relationship between owners belongs in the shareholders agreement. A transaction may need all of these, but they do different jobs.
Fees and cost components
Professional work, authority fees and third-party charges should be identified separately in the written quote.
Document coordination
Scope depends on participants, existing records and linked agreements. A standalone review differs from drafting and negotiating a complete investment or ownership-change pack.
Specialist assessments
Tax, valuation, succession, regulated activity or cross-border ownership may need other input. Agree workstreams and responsibility before assuming the corporate document answers every related question.
Implementation charges
Registrar, notary, translation, authentication and filing costs vary by entity and event. Identify official costs separately from professional fees and verify required steps.
Documents and information to prepare
The receiving authority and adviser confirm the final requirements for your matter.
Corporate records
Provide the licence, current constitution, registers and ownership chart. Include historic amendments and evidence of approvals so the review can distinguish valid changes from intended but unfinished ones.
Existing private documents
Send shareholder, investment, loan, nominee and management agreements. Side letters and informal promises can affect the intended transaction and should not be omitted because they are inconvenient.
Commercial terms and priorities
Explain the event, value, participants, funding, decision rights and desired exit. Identify deadlines, bargaining constraints and the issues each participant considers material.
Approval and implementation information
List registrar requirements, existing consent rights, security and proposed authorised signatories. Include bank, regulator or third-party dependencies that may affect timing and completion.
Align agreements with approvals and company records
Review the legal form, company constitution, shareholder rights and relevant authority records. Identify approvals for borrowing, new shares, transfers and important transactions. Directors’ duties require separate attention; shareholders cannot assume their private preferences eliminate obligations attached to management roles.
Beneficial-owner and shareholder records should reflect actual ownership and control under the applicable regime. Nominee or indirect holdings require careful disclosure assessment. The current official record, private agreements and bank declarations should be consistent. Correct historic gaps before adding another layer of documentation that depends on inaccurate assumptions.
Separate capital, loans, pay and distributions
Separate capital, loans, salaries, management fees and profit distributions. Owners who contribute cash, work or IP may value those contributions differently. Agree the measurement and legal route for each before modelling percentages. New funding can also affect existing rights and future dilution.
Governance and investor protections should be proportionate and practical. Information rights, reserved decisions, board composition and transfer controls need to support the business without creating paralysis. Exit mechanisms should address valuation, payment and funding rather than merely state that a buyout is available. Independent interests should remain visible during negotiation.
Complete the corporate event and maintain the records
Use a checklist of approvals, signing, payments, transfers, register changes and agreed handover. Requirements vary by entity and registrar. Authentication or legal translation may be relevant, but should be identified for the actual event rather than imposed as a universal document package.
After implementation, maintain one coherent corporate record and an obligations calendar. Track reporting, funding, renewal of relevant permissions and future transfer or exit procedures. Review the arrangement after a new investor, changed activity or restructuring; an old shareholder agreement may no longer match the company’s rights or commercial purpose.
The detailed process
- 01
Map the existing company
Establish legal form, rights, records and outstanding inconsistencies. Identify what is already effective and what exists only as an intention or unsigned document.
- 02
Define the corporate event
Select the documents and implementation steps appropriate to funding, transfer, governance or collaboration. Explain dependencies and responsibilities to the participants.
- 03
Negotiate and coordinate
Resolve economics, control and risk while keeping the document set aligned. Record disclosures, approvals and any required constitutional changes rather than negotiating each form in isolation.
- 04
Complete and maintain
Carry out signing and formal steps, preserve evidence and update records. Give the company a practical calendar for reporting, funding, decision and exit obligations.

Further context for this guide
A private agreement can explain commercial expectations, but some results require resolutions, constitutional amendments, transfers or filings. The right scope should identify both the document and the legal steps needed to implement it. Current Companies Law 32/2021 includes 20/2025 amendments; the registrar and any financial-free-zone framework also matter.

Points to check before proceeding
Agreement and register tell different stories
Private rights may need formal implementation or updated disclosures. Correct inconsistencies before relying on a new document built on the old inaccurate position.
Different economic concepts combined
Salary, loans, capital and dividends should not be treated as one contribution pool. Define each category and its approval, repayment or distribution rules.
Exit rights drafted without practical funding
A transfer mechanism needs valuation, payment and completion arrangements. Consider whether the proposed buyer can actually perform and what happens if it cannot.
Your questions, answered
Which corporate agreement do we need?
Identify the event first: continuing ownership, share sale, new funding or collaboration. More than one agreement and formal corporate step may be needed to achieve the result.
Can a private agreement change the constitution?
It does not automatically amend official constitutional records. Determine which terms require resolutions, amendments, registration or other formal implementation under the company’s framework.
Are all UAE companies governed alike?
No. Legal forms, registrars and financial-free-zone regimes differ. Current federal law and relevant DIFC, ADGM or other authority rules must be assessed for the entity.
Should all owners use one adviser?
Different owners may have competing interests. Clarify whom the adviser represents and whether independent advice is appropriate, especially for funding, exit, guarantees or unequal rights.
Can we repair old incomplete records?
The review can identify gaps and the steps required to regularise them. The right response depends on evidence, authority and applicable procedures; it should not involve backdating or disguising what happened.
Does document signing finish the corporate event?
Not necessarily. Payments, transfers, approvals, registers and filings may remain. Define completion evidence and allocate ongoing records and disclosure responsibilities.
