Is a RAK ICC foundation suitable for the family?

A RAK ICC foundation may suit a family that needs continuing ownership and governance of assets. Start with the proposed assets, recipients and decision makers, then compare the structure with simpler arrangements. Registration and validly transferring each asset into the foundation are separate steps.

What a RAK ICC foundation owns

The RAK ICC regulations describe a foundation as having separate legal personality from its founder and other persons. The structure therefore changes the ownership analysis once assets have been validly transferred. A signed charter or registration certificate alone does not prove that a property, account or shareholding has moved from its existing owner.

Prepare a before-and-after ownership map. Identify which assets will be transferred, which remain personal and which require approval from a bank, company authority or land registry. The remaining personal estate may still need a will. Consider international succession and tax advice where founders, recipients or assets have connections outside the UAE.

Fees and cost components

Professional work, authority fees and third-party charges should be identified separately in the written quote.

Understand the components of your quotation

Advice and constitutional documents

The professional scope depends on family complexity, governance design and relevant jurisdictions. Confirm what legal and tax coordination is included.

Formation and asset transfers

Registration, agent and transfer charges are distinct. Property or company approvals and lender requirements may add cost before the structure holds the intended assets.

Ongoing administration

Budget registered agent, accounting and governance support under the applicable requirements. A foundation’s recurring cost should be assessed alongside its long-term purpose.

Documents and information to prepare

The receiving authority and adviser confirm the final requirements for your matter.

  • Founder and appointee records

Prepare identity, residence and due diligence information for relevant individuals and entities. Confirm the proposed council, guardian where applicable and registered agent arrangements.

  • Asset ownership evidence

Gather property, company, investment and account records, showing existing owners. Include liabilities, security and any restriction on a proposed transfer.

  • Governance instructions

Record objectives, proposed recipients, decision rules and replacement arrangements. Explain intended retained powers and the circumstances in which distributions should be considered.

  • Existing estate and corporate documents

Provide wills, company agreements and any other relevant structures. Coordinate the proposed foundation with personal succession and business continuity rather than reviewing it in isolation.

Founder, council and guardian roles

The RAK ICC guidance describes a council with at least two members and a guardian oversight role where appointed or required. A guardian of the foundation is a governance position, distinct from a guardian caring for a child. The charter and by-laws should explain the relevant powers and procedures under the applicable regulations.

Choose members for judgement, availability and willingness to carry out their responsibilities. Consider conflicts, replacement appointments, decision thresholds and what happens when a founder or council member dies or loses capacity. A structure with the right names but no workable succession for its decision makers can reproduce the uncertainty it was meant to solve.

Recipients, distributions and family objectives

Discuss what recipients should receive: regular support, discretionary distributions, access to particular assets or a longer-term succession arrangement. Those objectives need legally suitable by-laws and governance procedures. Avoid assuming that family members share the same understanding of the foundation’s purpose, especially where some work in a business and others only receive economic benefit.

Consider minors, vulnerable adults and changes in family circumstances. Who can add or remove recipients under the chosen documents, and what oversight is appropriate? The answers should fit the regulations and the family’s objective. A separate practical explanation can help family members understand the structure without turning informal preferences into undocumented governance rules.

Asset transfers, disclosure and ongoing administration

The RAK ICC foundations framework was amended in 2025. Its protective provisions require detailed assessment on the facts; they should not be marketed as an absolute shield from creditors, divorce claims or every foreign judgment. Existing liabilities, the validity of transfers and the relevant courts remain important. Obtain advice before relying on a particular protection outcome.

The foundation requires continuing administration and records through the applicable registered agent arrangements. Confidentiality does not remove lawful information requests, due diligence or tax obligations. Budget annual support and keep ownership, governance and accounting records current. Review the structure after acquisitions, family changes or regulatory developments, rather than leaving it unchanged after initial registration.

The detailed process

  1. 01

    Assess suitability

Compare the family objective with a will, simpler ownership arrangement or foundation. Consider complexity, current control, asset eligibility and the relevant countries.

  2. 02

    Design governance

Agree founder, council, oversight and recipient arrangements. Draft documents around realistic decisions, conflicts and replacements within the current regulations.

  3. 03

    Register and transfer assets

Complete formation through the appropriate registered agent process, then separately obtain approvals and finish each asset transfer. Update the ownership map and remaining personal estate plan.

  4. 04

    Maintain the structure

Keep governance, accounting and due diligence records current. Review distributions, appointees and objectives after material events, with an ongoing administration budget.

Further context for this guide

The starting question is what the foundation should achieve. A family business, investment portfolio and jointly owned home present different requirements. Review the proposed assets, relevant countries, intended recipients and governance arrangements before deciding whether a foundation is proportionate. Formation and the actual transfer of assets into it are separate stages.

Compare the foundation’s objective and continuing cost with a coordinated estate plan. If business shares are involved, the business succession review addresses the company-level decisions that foundation registration alone cannot complete.

The adviser and receiving authority confirm the final requirements, validity and acceptance of the evidence.

Points to check before proceeding

Forming without funding

Registration does not itself transfer the assets. Track title, share and account changes separately and verify completion before relying on the succession arrangement.

Overpromising asset protection

Protective provisions have legal boundaries and factual conditions. Avoid treating the structure as a guaranteed answer to existing creditors or international claims.

Unclear decision making

Poor replacement and conflict procedures can leave the council unable to act. Test the governance against death, incapacity and family disagreement.

Your questions, answered

Is a foundation the same as a trust?

No. The RAK ICC regulations describe a separate corporate entity, with property held by the foundation under its own framework. Assess its particular rules and documents rather than importing assumptions from another structure.

Can it hold real estate?

The official guidance describes real estate subject to local land registry requirements. Check the specific property, ownership vehicle, lender and proposed transfer before assuming acceptance.

Do I still need a personal will?

You may. Assets that remain personal, other rights and children’s arrangements can still need separate planning. Review the completed foundation ownership map alongside the remaining estate.

Can the founder retain control?

The available powers and governance must be assessed under the current regulations and proposed documents. Retained control should be deliberate and legally suitable, with a practical plan for death or incapacity.

Is foundation information completely secret?

Do not assume complete secrecy. The registered agent, registrar and relevant authorities may require information. Confidentiality must be considered alongside lawful disclosure, due diligence and relevant tax obligations.

When is a foundation proportionate?

It may suit continuing governance of certain family or business assets. Compare the objective, asset transfers, complexity and annual costs with simpler planning options before committing to formation.

Map formation and asset transfers separately

Write down the intended assets, recipients and decisions before selecting the council or constitutional terms. Track registration separately from each asset transfer, and identify the personal interests that would remain outside the foundation.
