What belongs in the offshore owner’s estate?

If an offshore company owns your apartment or investments, your personal estate may hold the company shares rather than the underlying assets. Will preparation must follow that ownership chain and account for the company’s own transfer rules. Personal succession and the company’s ability to keep operating need separate attention.

Company-owned assets versus your personal estate

Start with the registered owner of every significant asset. Follow the chain from property or account to holding company, from company to shareholder and, where relevant, through another entity or foundation. Record jurisdictions, registration numbers, share classes and beneficial ownership information. A simple diagram can reveal that a personal will and a property transfer solve different questions.

Separate shares, loans and management rights. Money advanced by a founder to a company may be a loan asset, while a director’s appointment is an office rather than a transferable possession. If ownership records are incomplete or nominee arrangements exist, obtain proper evidence and advice. Do not replace documented legal ownership with a family’s informal description of who controls the asset.

Fees and cost components

Professional work, authority fees and third-party charges should be identified separately in the written quote.

Understand the components of your quotation

Cross-border review

Multiple company jurisdictions or wills can require separate advice. Obtain a scope that identifies which legal systems and ownership layers are included.

Will and corporate work

Drafting and registration are separate from amendments to articles, share transfers or restructuring. Request distinct professional and authority charges for each task.

Ongoing entity administration

Registered agent, renewal, accounting and record maintenance costs continue while the structure remains. Assess them alongside eventual succession administration costs.

Documents and information to prepare

The receiving authority and adviser confirm the final requirements for your matter.

  • Company constitutional documents

Provide the certificate of incorporation, articles, share registers and current director records. Identify any shareholder agreement, nominee arrangement or restriction relevant to succession.

  • Underlying asset evidence

Gather property title deeds, account statements and investment records, showing the registered owner. Include mortgages, security arrangements and outstanding contractual obligations.

  • Personal and beneficial ownership record

Prepare passports, nationality details and documented ownership percentages. Explain the chain through other companies or foundations and any disputed or informal family arrangements.

  • Existing wills and agent correspondence

Supply estate documents in all relevant countries, together with registered agent contacts and guidance already received on share transmission or ownership changes.

Which countries govern share succession?

The company’s place of incorporation, the shareholder’s personal succession framework and the location of underlying assets can all matter. A company registered in one jurisdiction may hold Dubai property and an overseas bank account. Each connection can introduce different procedures. A UAE will should be coordinated with the company jurisdiction’s transmission requirements and any foreign succession documents.

DIFC’s official guidance recognises that foreign assets require appropriate overseas advice and does not guarantee foreign enforcement. Treat that as a prompt for a coordinated plan: which document addresses the shares, who can obtain the necessary grant, and what evidence the registered agent or company registrar will need. Broad worldwide wording alone is not a complete implementation strategy.

Company records, directors and continuity

Examine the articles, shareholder agreement, registers and director appointments. What happens when a sole shareholder or key director dies? Who can communicate with the registered agent, instruct the bank and protect the underlying property? Share succession and corporate authority should be considered separately, with lawful arrangements for interim management where needed.

Keep the company’s annual administration current. Missing renewal records, outdated identity documents or incomplete ownership registers can add difficulty at a vulnerable time. Decide who keeps the corporate file and how authorised representatives can locate it. Where a family member will inherit shares but another person will manage the company, document the intended governance and communication clearly.

Property eligibility and restructuring choices

Underlying real estate remains subject to the relevant land registry’s requirements. Do not assume every offshore company or proposed foundation is accepted for every property. Check the precise title, area, ownership vehicle and intended transaction with the relevant authority. A change in shareholders may also have corporate, lender or registry consequences that require assessment.

Compare retaining the structure with simplifying it or using a different lawful arrangement. Factor in current control, creditor issues, tax advice in relevant countries, annual costs and succession administration. Any lifetime restructuring must be completed correctly and supported by updated records. A will should reflect the final ownership arrangement rather than describe a proposed structure that was never implemented.

The detailed process

  1. 01

    Map the structure

Document the chain of ownership and distinguish shares, loans, property and management rights. Resolve gaps before deciding which interest a will should address.

  2. 02

    Confirm jurisdiction and implementation

Check the personal succession route and the incorporation jurisdiction’s requirements. Obtain relevant foreign advice and verify the receiving institutions’ documentary expectations.

  3. 03

    Coordinate succession and governance

Align beneficiaries with company agreements and a practical management plan. Assess whether retaining or restructuring the vehicle best serves the family objective.

  4. 04

    Complete and maintain records

Register the will through the appropriate route and finish any separate corporate changes. Keep annual administration and contact information current, with a clear family handover file.

Further context for this guide

Offshore wills planning is useful where UAE property, overseas companies, family holding structures or investments overlap. It brings personal succession and corporate records into one review. The objective is to avoid a beneficiary receiving an interest that cannot readily be traced, valued, transferred or managed under the relevant legal and institutional requirements.

For the operating business, use the business succession guide to review managers, signatories and shareholder arrangements. If a foundation is being considered, compare RAK ICC foundation governance and asset transfers before changing the ownership map.

Points to check before proceeding

Bequeathing the wrong asset

A company-owned apartment may not be your personal property. Identify the shares and other rights you actually own before drafting gifts.

Ignoring the registered agent

The agent may hold essential records and apply formal transmission requirements. Include its contact and corporate file location in the succession plan.

Assuming offshore means protected

Incorporation alone does not guarantee protection, tax results or simplified inheritance. Review creditors, foreign law and completed ownership transfers on the actual facts.

Your questions, answered

Is an offshore company a substitute for a will?

No. Personal shares and related rights can still need succession arrangements, while company management needs its own continuity plan. Review the structure and personal estate together.

Can I leave the company’s apartment directly to my child?

Start by identifying the registered owner. If the company owns the apartment, your personal transferable interest may be shares or other rights. A direct property gift requires a separate ownership and transfer analysis.

Will a DIFC will govern every foreign company?

That should not be assumed. Foreign enforcement and share transmission depend on the incorporation jurisdiction and relevant rules. Obtain local advice and coordinate the document’s scope.

What if I am both sole shareholder and director?

Ownership and management are distinct. The plan should address lawful transmission of the shares and who can keep the company functioning while succession authority is established.

Should I move property into a company before making a will?

Only after assessing title eligibility, current control, lender requirements, costs and the wider legal consequences. The structure should solve a defined problem and be implemented properly, rather than added by default.

What should my family know about the structure?

They need a clear ownership diagram, company identifiers, registered agent contacts and the location of current records. Sensitive access information should be stored separately with appropriate authorisation and security.

The practical context

Trace the asset back to its owner

Put the title, company register and shareholding records side by side. Identify who owns the underlying asset, who owns the shares and who can manage the entity. The will instructions should reflect that documented chain.
