Authority for agreed company setup steps

If someone will handle company setup for you, agree the activity, owners and legal form before preparing the POA. The investor’s authority before formation differs from the company’s later operational authority. The mandate should identify which applications and commitments the representative may complete.

Activity, legal form, ownership and setup decisions

Identify the business activity, mainland or free-zone route, legal form, proposed owners and management. The official mainland setup guidance treats activity and legal form as foundational steps, followed by name, approval, constitutional and premises requirements where applicable. A representative’s appointment should support that plan rather than silently determine it.

Prepare a written decision record for ownership percentages, capital, proposed name and who may approve changes. Regulated activities or corporate shareholders may introduce additional approvals and evidence. A formation POA cannot make an unlicensed activity permissible or satisfy a missing sector requirement. Resolve material route questions before paying for certification.

Fees and cost components

Professional work, authority fees and third-party charges should be identified separately in the written quote.

Understand the components of your quotation

POA assessment and preparation

Scope depends on investor type, route and proposed commitments. Distinguish authority drafting from the company formation service itself.

Certification and foreign records

Notarial, authentication, translation and corporate certificate charges can be additional. Confirm the licensing authority’s actual requirements before arranging them.

Formation and operating setup

Licence, premises, immigration, banking support and later registrations are separate cost categories. Approval remains with the relevant institutions.

Documents and information to prepare

The receiving authority and adviser confirm the final requirements for your matter.

  • Investor identification

Prepare passports and applicable residence or identity records. For corporate investors, gather incorporation, constitution and valid signatory evidence.

  • Setup decision record

Provide proposed activity, route, legal form, ownership, capital and management. Identify which decisions are settled and which require further approval.

  • Authority requirements

Obtain the licensing body’s current checklist and accepted POA format where relevant. Identify sector approvals, branch or foreign shareholder requirements.

  • Draft documents and existing powers

Supply proposed constitutional terms, premises commitments and any earlier authority. Explain whether banking, immigration or other later assistance is contemplated.

Investor capacity and delegated formation steps

An individual investor and an existing company shareholder require different capacity evidence. Determine who may sign and what authority the representative exercises. A company that has not yet been formed cannot be treated as though it already granted a general corporate mandate. Review any later authority needed after incorporation separately.

List tasks such as submitting applications, reserving a name or signing specified constitutional documents if legally appropriate. Consider premises, capital commitments, amendments and appointment of management deliberately. Routine application support should not automatically include borrowing, guarantees or disposal of the investor’s other assets. The principal should understand the commitments each power could create.

Licensing, premises, bank and immigration requirements

Each licensing authority applies its own application, identification and document rules. Confirm how it recognises POA holders and whether a particular format, resolution or original is needed. Mainland, free-zone and branch formation should be assessed through the actual receiving authority. A familiar document used for another zone is not evidence of universal acceptance.

Banking, immigration and tax registrations are connected but distinct processes. A formation appointment should not promise a bank account or visa, and those institutions may require personal participation or separate mandates. Identify the proposed after-incorporation tasks and check their authority requirements rather than claim that one certified document completes the entire operating setup.

Registration outputs and the new company’s authority

Prepare consistent investor identity and corporate records and complete the relevant notarial, translation and foreign authentication steps. Retain approved instructions, submitted versions and authority evidence. If ownership or constitutional terms change during review, return to the principal for the intended approval process and assess whether the formal scope still fits.

At incorporation, verify the issued licence, constitutional documents and ownership records against the agreed plan. Create a company file with the approved management and signatory arrangements. Review whether the investor’s formation POA remains needed or should be ended or replaced by appropriate company authority. Completion should be evidenced by actual records, not only submission receipts.

Plan the transition from investor instructions to the registered company's own governance. Ask which appointments, resolutions and institution-specific mandates will be needed after incorporation, including banking and ongoing licence administration. Keep these deliverables on a separate completion checklist so that authority to establish the entity is not casually treated as an unrestricted manager mandate for its later operations.

The detailed process

  1. 01

    Define the setup

Review activity, route and ownership decisions and identify the actual applicant. Resolve significant licensing or capacity questions before drafting authority.

  2. 02

    Agree delegated steps

Separate applications from constitutional signatures and financial commitments. Set a principal approval process and check the authority’s representative requirements.

  3. 03

    Prepare and complete formalities

The correct principal also matters. Before a company exists, an investor may be authorising actions in their own capacity or through an existing corporate shareholder. Once incorporated, the new entity’s authority is a separate question. Keep those stages distinct and confirm what the chosen licensing authority accepts.

Choose the setup route through the UAE company formation guide before defining the appointment. Once the entity exists, a separate corporate POA review checks its own signatory, approvals and operational tasks.

Points to check before proceeding

Delegating unsettled ownership decisions

A representative may face changes during setup. Agree ownership and approval boundaries before authorising constitutional commitments.

Using a nonexistent company as principal

Pre-incorporation investor authority differs from the new entity’s later mandate. Keep the legal capacities distinct.

Promising all approvals through one POA

Licensing, bank and immigration requirements remain independent. Define the accepted tasks and check each process.

Your questions, answered

Can I form a company through a representative?

Accepted tasks and requirements depend on the chosen authority and applicant. Confirm its current route and any personal or corporate evidence before relying on a POA.

Who grants the POA before incorporation?

The relevant investor or existing corporate principal must be identified. The proposed new company should not be treated as already able to grant its own operational authority.

Can the representative change my ownership percentage?

That is a consequential decision requiring deliberate scope and approval review. Do not assume routine setup support includes unrestricted changes to ownership.

Does it guarantee a corporate bank account?

No. The bank assesses the entity and applicants under its own requirements and may need separate participation, documents or mandates.

Can it include signing a lease?

Assess that commitment specifically, including premises, value and approval limits. It should not be included without considering the investor’s intended financial obligations.

What happens after the licence is issued?

Verify the final documents, create the company governance file and assess later authority needs. The investor’s formation mandate may need to end or be replaced rather than serve as permanent company authority.
